Terms of Service

1. Parties + Scope

This agreement is between YIWU ARIVON TRADE CO., LTD ("the Service Provider"), the legal supplier of all products sold via YiwuPortal, registered in Yiwu, Zhejiang, China, and the customer registering on the platform.

YiwuPortal is a B2B sourcing platform operated by YIWU ARIVON TRADE CO., LTD. We supply consumer goods to B2B buyers in Turkey, the EU, the US, and beyond as a consolidated trade entity.

YIWU ARIVON TRADE CO., LTD is the named exporter on every commercial invoice and customs declaration issued through the platform.

2. Account Creation

You must be 18+ and provide accurate information. For business accounts, you represent that you are an authorized signatory.

KYC (know-your-customer) data — tax ID, company information, payment method — is required.

Suspicious activity (sanctions hits, fraud signals, MOQ violations) may trigger account suspension.

3. Order Process

Product listings are not binding offers; every order is re-confirmed at the proforma stage.

After proforma approval, a 30-50% qualification deposit is required and is non-refundable until QC completes.

Following full payment, goods undergo QC (quality control); shipment commences after QC pass.

Default pricing is in USD; conversion to TRY, EUR, CNY, AED is available on request.

4. Payments

Accepted methods: card (Stripe), bank transfer (Iyzico + direct bank), crypto (US entity only), installment plans (orders ≥ $10,000).

Receipts are reviewed within 24 hours; rejected receipts must be resubmitted.

Refunds settle within 5-10 business days.

5. Intellectual Property

The YiwuPortal brand, content, software, AI system prompts, and catalog structure are YiwuPortal IP.

Product images and specifications may be supplier IP; YiwuPortal uses them under license.

Customer-uploaded materials (logos, brand assets, custom mold requests) remain customer IP.

6. Limitation of Liability

YiwuPortal is an intermediary platform; supplier-buyer disputes are routed through our mediation process first.

Maximum aggregate liability for any transaction is capped at 100% of the order amount.

Force majeure (natural disasters, war, customs/port strikes, pandemic, legal restriction) extends timelines and may permit cancellation.

7. Dispute Resolution

You must first use the platform's dispute process (/disputes).

If unresolved, courts of competent jurisdiction: for Turkey-based transactions, Istanbul Anatolian Courts; for China-based, Yiwu People's Court; for US-based, Delaware State Courts.

EU consumer protection rights are preserved.

8. Account Termination

You may close your account at any time via /admin/settings/account.

YiwuPortal may terminate accounts on 30 days' notice for breach; immediate termination for serious breach (fraud, sanctions).

Outstanding obligations on open orders survive account closure.

This agreement is governed by the laws of the country in which the contracting YiwuPortal entity is incorporated: Turkish Commercial Code for Turkey-based entities; PRC Contract Law for China-based entities; Delaware General Corporation Law for US-based entities.
